SEO, GEO & Digital Growth Service Terms

These terms apply to recurring SEO, GEO and digital growth services supplied by EMPEX DIGITAL where they are incorporated into an accepted proposal or agreement.

Initial three-month engagement

Packages normally begin with a three-month minimum period unless the accepted proposal says otherwise.

Defined monthly scope

Each package includes specified actions and services rather than unlimited marketing work.

No guaranteed outcomes

Rankings, AI citations, traffic, enquiries and revenue cannot be guaranteed.

Client collaboration required

Access, approvals, content, accurate information and timely decisions affect delivery.

Section 1

Overview

These are service-specific terms for EMPEX DIGITAL SEO, GEO and Digital Growth Strategy services. They supplement the main EMPEX DIGITAL Terms & Conditions and apply only when expressly incorporated into an accepted proposal, online order or service agreement.

  • The service is intended primarily for businesses, although mandatory consumer rights remain unaffected where applicable.
  • EMPEX will perform the agreed services with reasonable care and skill.
  • Package descriptions are summaries. The accepted proposal or statement of work defines the exact scope.
  • Results depend on competition, website condition, third-party algorithms, implementation, content, market demand and other factors outside EMPEX's control.

Contract hierarchy

  1. Signed agreement, accepted proposal or statement of work.
  2. Any project-specific schedule or Data Processing Agreement.
  3. SEO, GEO & Digital Growth Service Terms.
  4. Main EMPEX DIGITAL Terms & Conditions.
  5. Other written documentation accepted by both parties.

Where documents conflict, the more specific signed or accepted document takes priority.

Section 2

Eligibility and service commencement

  • The service may be supplied for an EMPEX-built website or another technically suitable website.
  • Unlike Website Aftercare, SEO services do not need to be restricted only to EMPEX-built projects.
  • EMPEX may require an initial technical review before accepting an external website.
  • The Client must provide required website, analytics and platform access.
  • Service begins on the date stated in the proposal or when required access, payment and information have been received.
  • Delays in access may delay commencement.
  • EMPEX may decline work involving unlawful, deceptive, harmful or high-risk practices.

  • EMPEX may recommend another package where the selected level is insufficient for the desired scope.

Section 4

Initial term and renewal

  • The initial minimum term is three consecutive monthly service periods.
  • The start date is defined in the proposal.
  • Fees are billed monthly in advance unless the proposal says otherwise.
  • After the initial term, the service continues monthly.
  • After the initial term, either party may cancel with 30 days' written notice.
  • Cancellation takes effect at the end of the applicable paid service period.
  • A proposal may define another notice period.

Early cancellation during the initial term

Unless the proposal states otherwise, the initial three-month period is a minimum commitment. If the Client cancels for convenience during that period, fees for the remaining initial term may remain payable, less any material costs that EMPEX reasonably avoids as a direct result of the early termination.

Termination rights for serious breach remain separate from cancellation for convenience.

Section 5

Monthly scope and optimisation actions

Optimisation action definition

An optimisation action is one agreed and reasonably contained unit of work, such as optimising an existing page, preparing a content brief, implementing a structured answer or FAQ block, completing a focused internal-linking improvement, applying a defined schema enhancement, or correcting a specific technical SEO issue.
  • Complexity varies, and one large task may count as multiple actions.
  • Several very small related changes may be grouped as one action.
  • EMPEX will explain the classification before starting where it is not obvious.
  • Monthly actions do not roll over and cannot be transferred between clients, websites or months.
  • Unused meetings, reports or action capacity do not convert into credits or refunds.
  • Urgent or major development is outside the package.
  • Work is prioritised according to the agreed roadmap, not simply processed in request order.
  • EMPEX may substitute an equivalent higher-priority action after consultation where data shows a better opportunity.

Section 6

SEO services

The agreed scope may include technical review, crawlability and indexation, sitemap and robots checks, canonical review, on-page optimisation, keyword and search-intent mapping, local SEO guidance, Google Business Profile guidance, internal linking, metadata, performance observations, content briefs, page optimisation, competitor analysis, Search Console review and conversion-related observations.

  • Not every activity is included every month.
  • Work follows the package level and agreed roadmap.
  • Google Business Profile suspension appeals or verification issues may require separate work.
  • Major technical development is separately quoted.

Section 7

GEO and AI search visibility

GEO work may include entity clarity, structured answers, question-led content, FAQ strategy, schema, service definitions, citation-ready page structure, content consistency, brand/entity signals, internal linking, AI search observations and authority opportunity planning.

  • AI systems are controlled by third parties.
  • AI citations cannot be purchased or guaranteed.
  • AI-generated answers vary by user, prompt, model, location and time.
  • Tracking AI visibility is incomplete and evolving.
  • GEO observations may use samples rather than exhaustive measurement.
  • The service does not guarantee inclusion in any particular AI system.

Section 8

Digital growth strategy

The service may include positioning, ideal-customer priorities, service and audience mapping, customer journeys, conversion-path review, content priorities, KPI selection, channel recommendations, quarterly planning, roadmap prioritisation and evidence-based recommendations.

  • This is not full outsourced marketing leadership unless specifically agreed.
  • Paid advertising management is not included.
  • Sales operations and internal business management are not included.
  • EMPEX provides recommendations, but business decisions remain the Client's responsibility.

Section 9

Onboarding and access

Required access may include website CMS, source repository where technical implementation is included, hosting information, Google Analytics, Google Search Console, Google Business Profile, tag management, consent platform, relevant reporting tools and existing keyword or campaign information.

  • Access should use secure invitation methods where possible.
  • Shared passwords should be avoided.
  • MFA should remain enabled where available.
  • The Client must not provide access it is not authorised to grant.
  • Missing access may delay or limit the service.
  • Third-party platform verification remains subject to that provider.

Section 10

Content, approvals and implementation

  • EMPEX may create recommendations, briefs, edits, structured-answer copy or limited on-page content.
  • Full article writing and large landing-page production are excluded unless expressly included.
  • The Client is responsible for factual, legal, regulatory, product and industry accuracy.
  • The Client must approve significant content before publication where agreed.
  • Delayed approvals may reduce what can be completed in that month.
  • Unapproved work does not automatically roll over.
  • EMPEX may implement agreed technical and on-page changes where access and authority have been granted.
  • Client-supplied content must not infringe third-party rights.
  • Regulated claims require Client or legal approval.

EMPEX is not the Client's legal, medical, financial or regulatory adviser.

Section 11

Reporting and meetings

  • Monthly reporting is provided as part of each package.
  • Quarterly strategy review is provided where included.
  • Growth Visibility includes a monthly strategy call.
  • Authority & Digital Growth includes a monthly leadership and strategy review.
  • Search Foundations receives the meetings and reviews listed in its approved package.
  • Reports use the data reasonably available. Analytics platforms may revise or sample data, attribution is imperfect and reports do not guarantee causation.
  • The Client must identify relevant business conversions and lead-quality information where needed.
  • Missed client meetings normally do not roll over. Meetings may be rescheduled with reasonable notice, subject to availability.
  • Excessive additional meetings are separately quoted.

Section 12

Client responsibilities

The Client must provide accurate business information, timely access, working analytics where required, content reviews and approvals, details of legal or regulatory restrictions, notice of site changes, disclosure of previous penalties, manual actions, hacked sites or harmful SEO practices, valid platform accounts and subscriptions, reasonable responses, business conversion and lead-quality context, implementation of assigned recommendations and lawful use of EMPEX recommendations.

The Client should avoid uncoordinated work by another agency or developer. Delays and conflicting third-party changes may affect performance and delivery.

Section 13

Third-party tools and costs

Relevant tools may include SEO crawlers, rank-tracking tools, analytics tools, AI visibility platforms, reporting software, content tools, stock media, plugins, schema tools, digital PR databases, hosting and development tools.

  • Third-party charges are separate unless expressly included.
  • Tools operate under their own terms, and providers may change pricing or functionality.
  • Client-owned licences remain the Client's responsibility.
  • EMPEX may use internal agency tools without transferring those licences.
  • Specialist tools requested solely for the Client may be passed through with prior approval.

Section 14

Data protection and confidentiality

  • Each party must comply with applicable data-protection law.
  • EMPEX is normally controller for its own client administration.
  • EMPEX may act as processor where it accesses personal data solely on Client instructions.
  • A separate Data Processing Agreement applies where required.
  • Analytics, CRM exports and lead information must be shared securely, and the Client should minimise personal data supplied.
  • Both parties must protect confidential information.
  • Confidential information may be shared with authorised personnel and providers who need it for the service.
  • Confidentiality survives termination.

Section 15

Intellectual property

  • Client-owned content remains Client-owned.
  • EMPEX retains pre-existing tools, templates, methods, reporting frameworks and know-how.
  • After full payment, the Client may use reports, briefs and project-specific recommendations for its own business.
  • The Client may not resell or distribute EMPEX proprietary templates or internal systems.
  • Third-party data and software remain subject to their licences.
  • General ideas, methods and non-confidential knowledge may be reused by EMPEX.
  • No ownership in Google rankings, AI citations or third-party platform data is created.

Section 16

Delays and unused work

  • Monthly capacity is reserved for the Client.
  • Client delays do not normally pause invoices automatically.
  • Delayed access, approvals or content may reduce completed output.
  • Unused monthly actions do not roll over.
  • EMPEX should make reasonable efforts to re-prioritise available work.
  • Where the Client delay is substantial, EMPEX may reschedule work.
  • Extraordinary remobilisation may be separately quoted after notice.
  • No automatic fixed reactivation fee applies.

Section 17

Package changes and additional work

  • Upgrades may begin immediately or at the next billing cycle by agreement.
  • Downgrades normally begin after the initial term and from the next billing period.
  • Downgrades require the project to remain suitable.
  • EMPEX cannot unilaterally move a Client to a higher price without agreement.
  • If the current package becomes unsuitable, EMPEX may recommend an upgrade, narrower priorities or separate quotation.
  • Additional work requires approval.

Standard exclusions

  • Guaranteed rankings, AI citations, traffic, leads or revenue
  • Paid advertising spend or campaign management
  • Full article or landing-page copywriting unless included in writing
  • Paid backlink acquisition
  • Major website redesign or custom development
  • New integrations and large conversion experiments
  • Third-party software and tracking-tool subscriptions

Examples of separately quoted work

  • Full content writing.
  • Large content migrations.
  • Major development.
  • New landing pages.
  • Paid advertising.
  • Digital PR execution.
  • Paid link acquisition.
  • Advanced conversion experiments.
  • New integrations.
  • Emergency recovery.

Section 18

Fees, invoices and late payment

  • Package fees are billed monthly in advance, and VAT is added.
  • Initial onboarding or setup fees may be stated in the proposal.
  • Approved additional work is billed separately.
  • Invoices are due by the stated date.
  • Undisputed amounts remain payable even where another part is disputed.
  • The Client should raise disputes promptly with details.
  • For qualifying commercial debts, EMPEX may rely on statutory late-payment rights or a lawful contractual remedy.
  • Overdue service may be suspended after reasonable notice, and suspension does not remove outstanding payment obligations.

Section 19

No-guarantee provisions

EMPEX promises professional effort and agreed delivery, not a specific third-party-controlled outcome.

EMPEX does not guarantee first-page rankings, position-one rankings, inclusion in AI results, AI citations, featured snippets, traffic volumes, leads, sales, revenue, Google Business Profile visibility, uninterrupted analytics data or a specific completion date for search-engine changes.

Outcomes depend on competition, website condition, client implementation, content, authority, reviews, third-party algorithms, search demand, market conditions, platform changes, previous site history and technical limitations.

Section 20

Suspension

EMPEX may proportionately suspend service for overdue invoices, unlawful or deceptive instructions, security risk, denied access, serious breach, abusive conduct, harmful SEO practices or client changes that create unacceptable technical risk.

Reasonable notice will be given where practical. To restore service, the Client must remedy the issue, provide required access or payment, and confirm any safe restart steps reasonably requested by EMPEX. Any remobilisation charge must be reasonable and disclosed before work begins.

Section 21

Cancellation and termination

  • Cancellation must be in writing.
  • The initial minimum term applies unless the proposal states otherwise.
  • After the initial term, 30 days' written notice is required unless another notice period is stated in the proposal.
  • Payment is due through the effective termination date, and accrued fees and approved costs remain payable.
  • Either party may terminate for material breach not remedied within a reasonable notice period.
  • Immediate termination may apply to fraud, illegality, serious security risk or insolvency where legally appropriate.
  • Repeated non-cooperation may justify termination after notice.
  • Termination does not guarantee removal of changes already indexed or cached by third parties.

Cancellation does not oblige search engines or AI systems to immediately remove previously indexed content.

Section 22

Offboarding and data access

  • EMPEX will provide reasonable final reports or documents already included and paid for.
  • Client-owned account access remains with the Client.
  • EMPEX will remove its access where appropriate.
  • Agency tool accounts, internal workspaces and proprietary templates are not transferred.
  • Additional handover, export or training may be separately quoted.
  • Client project data may be retained according to the Privacy Policy and legal obligations.
  • Outstanding invoices must be paid before optional additional handover work.

Section 23

Liability and service limitations

  • Services are performed with reasonable care and skill.
  • Nothing limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or liabilities that cannot legally be limited.
  • EMPEX is not liable for third-party algorithm changes or platform outages outside its reasonable control.
  • EMPEX is not liable for Client or external-developer changes outside EMPEX's control.
  • Indirect and consequential losses are excluded only to the extent legally permitted.
  • These terms do not absolutely exclude responsibility for direct loss caused by EMPEX's failure to use reasonable care.
  • Unless the proposal states another reasonable cap, aggregate liability is capped at the fees paid or payable for the affected service during the previous 12 months.

Section 24

Force majeure

Neither party is responsible for delay or failure caused by circumstances outside reasonable control, including major platform outages, internet and utility failures, widespread cyber incidents, natural disasters, government action, war or civil emergency, labour disruption, critical third-party provider failure and similar events.

The affected party should give reasonable notification and mitigate the impact where practical.

Section 25

Complaints and disputes

Complaints should be sent to support@empexdigital.io. EMPEX will acknowledge and investigate complaints. Both parties should attempt good-faith resolution, and mediation may be considered by agreement. Court rights remain available. EMPEX does not claim membership in an ADR scheme unless separately confirmed in writing.

Section 26

General terms

  • No waiver applies unless clearly confirmed in writing.
  • If a provision is unenforceable, the remaining provisions continue where legally possible.
  • Assignment is restricted unless agreed or legally permitted.
  • Notices may be sent by agreed email.
  • Amendments must be in writing.
  • No third-party rights apply unless stated.
  • The full agreement hierarchy is the hierarchy stated in Section 1.
  • Changes to published terms apply prospectively.
  • Material changes to active recurring services require reasonable notice.
  • These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, subject to mandatory consumer rights.
